Statutory Audit Committee

Tereza Cristina Grossi Togni

Business Administrator and graduated in Accounting from the Universidade Católica de Minas Gerais (UC-MG), she worked as Audit Officer of the Brazilian Central Bank from 2000 to 2003. She was a member of the Accounting Policies Committee, of the Disclosure and Trading Committee, of the Audit Committee and of the Board of Directors of Itaú Unibanco Holding S.A. Currently, she works as Chairman of the Audit and Risk Management Committee, as Specialist of Duratex S.A. and Member of the Audit Committee of B3.

Emilio Humberto Carazzai Sobrinho

Holds a Law degree from the Federal University of Paraná and the Federal University of Pernambuco, and a master‘s degree in Business Administration from the Manchester Business School (England). He is currently a certified Board Member and Chairman of the Board of Directors of Brazilian Institute of Corporate Governance (IBGC), as well as an Independent Member of the Board of Directors of GranBio S.A., BCPar S.A., Rio Branco Alimentos S.A. and VIX Logística S.A. He is also a Senior Partner at Habitasec Securitizadora S.A. He served as CEO of Medial Saúde and Banco Pine, CFO of Editora Abril, and President of Caixa Econômica Federal. He also served as Executive Secretary of the Ministry of Finance and Senior Consultant at Booz Allen Hamilton, among other previous professional activities, all of them in the C-suite.

Marcos Reinaldo Severino Peters

Earned a bachelor’s degree in accounting from the University of São Paulo, where he also completed a master’s and doctorate in controllership and accounting. He has led leadership positions at various companies, including ADP Systems, Paranapanema, Cetenco and Shizen-Shiseido. He is a professor of finance in the Management and Law schools of the Armando Alvares Penteado Foundation (FAAP), coordinator of the international controllership program at GV/PEC, member of the IT lab at FIPECAFI, research professor in the accounting master’s program at FECAP, and member of the Brazilian Association of Finance Executives (IBEF). He is also an executive director of MARPE Contabilidade e Consultoria Ltda.

Julio Toledo Piza

Mr. Piza holds a bachelor’s degree in Agronomic Engineering from Escola Superior de Agricultura "Luiz de Queiroz" - ESALQ/USP, in Piracicaba, and a graduate degree in Administration and Finance from the Columbia Business School, in New York. In addition to having eight years of experience as Agronomist, Mr. Piza also worked at McKinsey and Company, in São Paulo, for six years, holding important positions, and was the CEO of Brasil Agro between 2008 and 2016

Francesco Marinoni

Mr. Marinori holds a degree in Aeronautical Engineering from the Massachusetts Institute of Technology and an MBA from the Columbia Business School. He is part of the advisory team of Laplace Finanças. Prior to that, Mr. Marinori was M&A Managing Director at UBS and head of corporate M&A at Ultrapar, accumulating experience in the investment banking sector at Lehman Brothers, Banco Garantia and Banco Santander.

Renato Carvalho do Nascimento

Mr. Renato Carvalho do Nascimento, holds a degree in Mechatronics Engineering from the Polytechnic School of the University of São Paulo and an MBA from the Tuck School of Business, in Dartmouth. He was founding partner of Angra Partners. He accumulated experience in investment banking at Lehman Brothers, in Nova York, and worked as a consultant of Monitor and Accenture. He was member of the Boards of Directors of Telemig, Metrô-RJ and Tropical, and Chairman of the Board of Directors of Maeda S.A. Agroindustrial. Renato is founding partner of Laplace Finanças, a financial advisory and fund management company and is a member of the Boards of Directors of Via Varejo and the Turnaround Management Association in Brazil.

Felipe Corrêa

Felipe Corrêa holds a bachelor’s degree in Engineering from the Pontifical Catholic University of Rio de Janeiro (PUC-RJ, 2010). He joined Gávea in December 2016 and became responsible for the management of global equities in March 2017. Previously, he served as a co-manager of international equities at SPX Capital (from 2015 to 2016) and worked on Gávea’s trading desk from 2013 to 2015 and at Paineiras Investimentos.

Lucia Helena Videira

Ms. Lucia Helena Videira holds a bachelor’s degree in Mechanical Engineering, an undergraduate’s degree in Human Resources from PUC-RJ, an MBA in Corporate Management from the Dom Cabral Foundation and a degree in Coach from the Erickson College, Vancouver-Canada. She has 30 years of experience in medium- and large-size companies (Duratex, Satipel, REDE Energia, Wal-Mart Brasil, Bompreço, CSN, White Martins, Promon Engenharia and CBV Indústria Mecânica) in of Human Resources and Quality areas. She acted as coordinator, manager, executive officer and vice-president (in some cases as statutory manager). Additionally, she has more than 20 years of experience as educator in free and undergraduate courses in institutions such as IBP, UBQ-RJ, ABCQ, Universidade Católica de Petrópolis and UNEB - União Educacional de Brasília. She currently acts as Coach and Human Resources Advisor.

He is a member of the Brazilian Bar Association, São Paulo chapter and of the São Paulo Attorneys Association (AASP). We worked as a clerk and lawyer at several renowned firms. Mr. Fernandes is a member of the boards of directors of Azevedo & Travassos S.A. and Terra Santa Agro S.A. He serves as an alternate member of the fiscal councils of Paranapanema S.A. and Bombril S.A. He currently works as legal counsel for Bonsucex Holding Ltda.

Silvio Tini de Araújo

B.S. of Legal and Economic Sciences and B.S. and post-graduate in Civil Law from the Armando Álvares Penteado Foundation (FAAP), with extension in Macroeconomics by the New York Institute of Finance - NYIF. He has been Chairman and Controller of Bonsucex Holding since its foundation in 1982, Chairman of the Board of Directors of Mineração Buritirama S.A., Chairman of the Board of Directors of Terra Santa Agro S.A, Member of the Board of Directors of Alpargatas S.A.. He was a member of the Board of Directors of the Companhia Metalúrgica Barbara, Companhia Paraíbuna de Metais, Construtora Azevedo & Travassos S.A., Grupo Paranapanema S.A., Eluma Industria e Comercio S.A., Caraíba Metais S.A., Brasil Ecodiesel S.A.. He is currently Vice President of Honor of the Brazilian Museum of Sculture (MUBE), Board Member of the São Paulo Art Museum (MASP), Board Member of the São Paulo Golf Club (SPGC) and Redeemed Member of the Sport Club Corinthians Paulista (SCCP). He was founder and President of the Brazilian Andaluz Horse Raisers Association (ABCAB) and Board Member of Sociedade Hípica Paulista (SHP).

Mariana Dantas Bezerra Duarte

Lawyer. She earned a master’s degree in Law from Duke University School of Law. She worked more for more than ten years as a lawyer at law firms including Tozzini, Freire, Teixeira e Silva Advogados and Veirano Advogados. From 2000 to 2002, she worked as an associate at Dewey Ballantine, LLP, in New York. She joined Agrifirma Brasil Agropecuária as legal manager in 2008 and was appointed statutory Legal and Environmental Officer in 2009. She has held the position of Chief Executive Officer of Agrifirma Brasil Agropecuária since 2016. Mariana currently has extensive expertise in the legal, environmental and financial officer.

Maria Luisa Soares de Almeida

Mrs. Almeida, degree in Economics from Pontifícia Universidade Católica de São Paulo (PUC) and MBA in Investor Relations from FIPECAFI. She worked for over 10 years in the Stock Exchange (B3) with experiences in the departments of products and operations. Se currently holds the position of Investor Relations Manager at Terra Santa Agro S.A. She has an extensive experience in capital markets, working in Operations, Product Development and Statistics, with good depth in the financial market (CVM, international stock exchanges, brokerage firms and investors).

Leila Rodrigues de Oliveira Barbosa

Mrs. Barbosa, lawyer, degree in Law from Faculdade de Direito de São Bernardo do Campo/SP, graduate degree in Business Law from Fundação Getúlio Vargas. She has worked at Brazul Logística e Transporte for 13 years with general practice in labor law, civil law (especially contracts), corporate law, economic law, regulatory law, tax law, focusing on preventively identifying possible lawsuits and developing solutions to reduce proceedings and mitigate risks. She currently holds the position of legal manager of Terra Santa Agro S.A.

Cesar Henrique Gallo do Prado

Mr. Prado, degree in Law from Universidade Presbiteriana Mackenzie, Graduate Degree in Labor Law and Labor Proceedings and Civil Procedural Law from Universidade Presbiteriana Mackenzie and in Environmental Law from Centro Universitário Internacional - UNINTER. He has over 9 years of experience in the area, notably working in the agribusiness segment. He currently holds the position of legal coordinator at Terra Santa Agro S.A.
